Terms of Service

Welcome to PrinSoft Cloud.

These Terms of Service ("Terms") govern your use of the PrinSoft Cloud platform operated by PrinSoft Business Solutions (Pvt) Ltd, a company registered in Zimbabwe. By accessing or using our services, you agree to be bound by these Terms.

1 Definitions

"Platform" means the PrinSoft Cloud website at prinsoft.cloud, APIs, and all related services.

"Service" means cloud hosting, software deployment, managed infrastructure, and support provided by PrinSoft.

"Customer," "you," "your" means the individual or entity subscribing to the Service.

"Instance" means a deployed software application running on our infrastructure.

"Content" means all data, files, databases, configurations, and materials uploaded to or generated by your Instances.

"Subscription" means your paid plan that grants access to the Service.

2 Service Description

PrinSoft Cloud provides:

  • Automated deployment of enterprise software (Odoo, Mifos/Fineract, CKAN, GeoNode, DHIS2, Nextcloud, and 30+ solutions)
  • Managed cloud hosting with SSL, DNS, backups, and monitoring
  • Instance lifecycle management (start, stop, restart, scale)
  • Solution marketplace with add-on modules
  • Technical support via email and WhatsApp
  • PDF invoice generation and billing management

We reserve the right to modify, enhance, or discontinue any feature with reasonable notice.

3 Account Registration

To use the Service, you must:

  • Be at least 18 years old or have legal capacity to enter contracts
  • Provide accurate, current, and complete registration information
  • Maintain the confidentiality of your account credentials
  • Accept responsibility for all activity under your account
  • Notify us immediately at [email protected] of any unauthorized access

We reserve the right to refuse service, terminate accounts, or remove content at our sole discretion.

4 Subscription Plans & Pricing

All prices are in United States Dollars (USD). Prices may be updated with 30 days written notice.

Payment Methods: EcoCash, InnBucks, bank transfer (FBC Bank), international wire transfer, PayPal.

Billing Cycle: Subscriptions are billed in advance. Monthly plans renew every 30 days; annual plans every 365 days.

Late Payment: If payment is not received within 7 days of due date, a reminder is sent. After 14 days, the service may be suspended. After 30 days of non-payment, data may be permanently deleted.

5 Free Trials

We offer free trials subject to the following:

  • Trial duration: 48 hours from instance creation
  • Full functionality during trial period
  • No credit card required to start a trial
  • One trial per software per customer
  • At trial expiry, the instance is stopped; data is retained for 7 days
  • Subscribe to any paid plan to retain your data and continue using the instance

6 Refund Policy

  • 7-Day Money-Back Guarantee: Full refund available within 7 days of initial paid subscription if you are not satisfied.
  • Refund requests must be submitted to [email protected]
  • Refunds are processed within 5–10 business days via original payment method
  • No partial-month refunds after the 7-day period
  • Annual subscriptions: pro-rata refund available within first 30 days
  • Setup fees and custom development charges are non-refundable

7 Service Level Agreement (SLA)

Uptime Guarantee: We target 99.5% monthly uptime for all production instances.

Exclusions: Scheduled maintenance (announced 24h in advance), force majeure, customer-caused issues.

Backups: Daily automated backups with 7-day retention (Standard), 30-day retention (Priority/Enterprise).

Support Response Times:

  • Standard plans: Within 24 business hours
  • Priority plans: Within 8 business hours
  • Enterprise plans: Within 4 hours (including weekends)

SLA Credits: If uptime falls below 99.5% in a calendar month, you may request a service credit of 10% of that month's fee per full 1% below target, up to 50% of monthly fee.

8 Acceptable Use Policy

You agree NOT to use the Service to:

  • Engage in any illegal, fraudulent, or harmful activities
  • Distribute malware, spam, phishing content, or viruses
  • Attempt to gain unauthorized access to other accounts or systems
  • Host content that infringes intellectual property rights
  • Overload infrastructure through cryptocurrency mining, DDoS, or abuse
  • Store or process child exploitation material
  • Violate export control laws or sanctions
  • Resell, sublicense, or redistribute the Service without written permission

Violation of this policy may result in immediate termination without refund.

9 Intellectual Property

Your Content: You retain all ownership rights to your Content. By using the Service, you grant us a limited license to host, store, and transmit your Content solely to provide the Service.

Our Platform: The Platform, including its design, code, documentation, and branding, is owned by PrinSoft Business Solutions (Pvt) Ltd and protected by copyright and trademark law.

Open Source Software: Software deployed on the Platform (Odoo, Mifos, etc.) is licensed under their respective open-source licenses. We do not claim ownership of open-source software.

10 Data Ownership & Portability

Your data belongs to you. At any time, you may:

  • Export your database and files via our backup tools
  • Request a full data export by contacting support
  • Migrate your data to another hosting provider

Upon subscription cancellation, your data is retained for 14 days to allow retrieval, then permanently deleted.

11 Termination

By You: You may cancel your subscription at any time. Service continues until the end of the current billing period. No partial refunds for unused time (except within the 7-day guarantee).

By Us: We may suspend or terminate your account if you:

  • Violate these Terms or the Acceptable Use Policy
  • Fail to pay fees after the grace period
  • Engage in activity that harms our infrastructure or other customers

Effect of Termination: Upon termination, your instances are stopped, data is retained for 14 days, then permanently deleted. Outstanding fees remain due.

12 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind
  • We are not liable for indirect, incidental, special, consequential, or punitive damages
  • Our total liability shall not exceed the fees paid by you in the preceding 3 months
  • We are not responsible for data loss due to customer error, third-party actions, or force majeure
  • You are responsible for maintaining independent backups of critical data

13 Indemnification

You agree to indemnify and hold harmless PrinSoft Business Solutions (Pvt) Ltd, its officers, directors, and employees from any claims, losses, or damages arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

14 Governing Law & Disputes

These Terms are governed by the laws of the Republic of Zimbabwe.

Any disputes shall first be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to arbitration in Harare, Zimbabwe, in accordance with the Arbitration Act [Chapter 7:15].

15 Changes to Terms

We may update these Terms from time to time. When we do:

  • We will update the "Last Updated" date above
  • Material changes will be communicated via email
  • Continued use after changes constitutes acceptance
  • If you disagree with changes, you may terminate your subscription
